Abstract
Vedanta group has grown through acquisitions with significant intra-group cross-holdings and the presence of minority shareholders.The 2011-12 Annual report lists 99 subsidiaries. The case describes an earlier failed attempt in 2008 to simplify the group structure and an ongoing attempt expected to be completed by early 2013.Apart from simplifying the group structure, the case elaborates on how the earlier restructure was aimed at removing conflicts of interest and increasing efficiency. The case also describes the amalgamation of the proposed restructure and its results. The case also points out the expectations on the structure of the company as a result of consolidation.The case mentions that the 2008 attempt failed because of minority shareholder resistance. These shareholders have now to decide whether the current proposal is in their interest.
