Abstract
This case provides a lesson for corporate boards on evaluating risks generally in dispute management, and specifically in public–private partnerships where the government party typically enjoys higher bargaining power. Contemporary corporate governance necessitates nuanced planning for resolving disputes, as the decisions of corporate boards can impact the course and survival of a corporation. The case, therefore, underscores the increasing impact of law and public-policy-related issues, prompting boards to engage with issues in this broader context. The case also highlights how the privity of a dispute between two parties can have effects beyond the disputing parties. International trade experts may be interested in the case to appreciate how dispute resolution can affect trade. Readers should recognise how judicial decisions not only affect corporations but can also impact national investments and a country’s larger trade posture internationally.
