Abstract

This case is instructive at two levels. First, the case underscores how a strong alternative dispute resolution system that comports with international trade policies and obligations forms a critical component for engaging in sophisticated corporate governance. It delineates how international trade rules can play a critical role in a dispute between two parties and lead to repercussions that impact beyond the disputing parties. Next, the case details how contract and dispute management necessarily implicates strategic evaluation of legal risks by corporate boards, more so in public–private partnerships where the government party typically enjoys a higher bargaining power. Contemporary corporate governance requires recognizing and resolving legal questions as part of their dispute management strategy considering that dispute management decisions of corporate boards can impact the course and survival of a corporation. For management students, the case serves to understand the role of the judiciary, and the importance of judicial restraint to achieve finality of arbitral awards as a lack of such judicial restraint can affect not just disputing corporations but can impact a country’s larger trade posture internationally.
